Draft for legal review. These terms have been written for MTE Solutions Ltd's solicitor to review. They have not been approved and are not yet in force. Text marked [TO COMPLETE] or [TO CONFIRM] is still to be supplied, and the solicitor will settle the liability and governing-law sections.
First pass, plainly stated. Everything Strata Scope produces is a first-pass suggestion for a competent engineer to verify. It is never a design value.
1About these terms
These terms are between MTE Solutions Ltd ("we", "us"; details in the footer) and the business that uses Strata Scope ("you"), and apply to everyone who signs in on that business's behalf. Strata Scope is for business use only, by ground investigation contractors and their clients. It is not offered to consumers.
The first time you use the tool it asks you to accept its standing terms; your acceptance and the version you accepted are recorded against your sign-in. By using Strata Scope you accept these terms. If you sign in for an organisation, you confirm you may accept them for it.
2The testing phase
Strata Scope is in testing and not yet on sale. Access is by invitation, [TO CONFIRM: free of charge during testing]. Features may change, break or be withdrawn without notice, and we give no service level during testing. Do not upload anything you are not prepared to have handled by a tool under test.
3Accounts and access
Accounts are set up by us. Each account has one email address, one role (contractor or client) and its own access code.
Keep your access code to yourself and do not share an account. Tell us at once if you think someone else has used it.
A contractor decides which jobs to share and with which client account. A client sees only the jobs shared with that account, and nothing priced.
You are responsible for what is done under your accounts.
4The outputs, and your responsibility
Strata Scope reads the records you supply and draws registers, plans, logs, sections, graphs and reports from them. Every output, whether read, derived, drawn or written, is a first-pass suggestion for a competent engineer to verify. It is never a design value.
A competent engineer must check every value against the source records (the AGS file, the log, the laboratory certificate) before it is used for anything.
Values read by AI from a log, certificate or photograph can be wrong. They are marked as read, and must be checked. See how we use AI.
Strata Scope does not give engineering advice and does not replace professional judgement. Interpretation, design, and the decision to issue a document stay with you and your organisation.
A factual report prints a marker wherever it lacks a fact you have not supplied. Do not issue a document that still carries one.
Outputs are for you and the clients you issue them to. Anyone else relies on them at their own risk.
5Your content
The files and records you upload, and the outputs made from them, are yours. You give us permission to store, copy and process them only as needed to run Strata Scope for you, including sending a file to our AI provider when you ask for it to be read. We do not use your content for anything else, and we do not train AI models on it.
You confirm that you have the right to upload what you upload, including any permission your client or employer requires, and that doing so does not break a confidentiality duty or anyone's rights.
6Acceptable use
You must not:
upload anything unlawful, or data you are not entitled to use;
upload special category personal data, or more personal data than the job needs;
try to get round sign-in, sharing or any other security control, or reach data that is not shared with you;
test the security of the service except as our security page allows;
overload the service, or scrape it, or use automated means to access it without our agreement;
copy, modify or reverse engineer the software, except where the law allows it;
use the AI reading features for anything our AI provider's usage policy forbids;
present an output as a checked or design value when it has not been verified by a competent engineer.
7Our software and third-party material
The Strata Scope software, its design and its documentation belong to MTE Solutions Ltd or its licensors. These terms give you the right to use it while your account is open, and nothing more.
The desk study, maps and place names come from public services run by others. They can be unavailable, out of date or wrong, and we do not control them. A desk study result is a record to read against your logs, not a finding.
9Confidentiality and personal data
We keep your content confidential and use it only to provide the service. The privacy notice says how personal data is handled. Where we process personal data in your content on your behalf, [TO COMPLETE: data processing terms] apply.
10Availability and changes
We try to keep Strata Scope available but do not promise that it will be uninterrupted or free of errors. We may change the service. We may change these terms; the date and version at the top will change, and if a change matters we will tell account holders before it takes effect.
11Liability
[TO CONFIRM: solicitor. The limits and exclusions of liability, including any cap, are to be written by the solicitor and checked against MTE Solutions Ltd's insurance. No figure is given here.]
Nothing in these terms limits liability that the law does not allow to be limited, such as liability for death or personal injury caused by negligence, or for fraud.
12Suspension and ending
You can stop using Strata Scope at any time and ask us to close your account. We may suspend or close an account that breaks these terms, or end the testing phase, and will tell you where we can. When an account closes, ask us within [TO CONFIRM: period] for a copy of your content; after that we delete it, as the privacy notice describes.
13Complaints
Email mark@MTE-hq.co.uk with what went wrong. We will acknowledge it within [TO CONFIRM: number of working days] and try to put it right. Complaints about personal data follow the privacy notice.
14Law and disputes
[TO CONFIRM: solicitor. Proposed: these terms are governed by the law of Northern Ireland, and the courts of Northern Ireland have exclusive jurisdiction.]
15General
If a court finds part of these terms unenforceable, the rest still applies. If we do not enforce a term straight away, we can still enforce it later. Only you and we have rights under these terms. [TO CONFIRM: solicitor, entire-agreement and assignment wording]
